SAD do Benfica reports that businessman John Textor has postponed from September 15 to December 31, 2021 the deal signed with José António dos Santos for the transfer of shares in the embodied company.

It is reported that Textor ensured, on Tuesday morning, that it suspended the agreement with Jose Antonio dos Santos, on the deal of 25 percent of the shares of the SAD do Benfica company. “Mr Santos and I have previously agreed to suspend our contractual relationship until Benfica’s partners confirm their choice of leadership,” Textor wrote in a statement on Twitter.

“Sport Lisboa e Benfica – Futebol, SAD” (“Benfica SAD”) under the terms and provisions of Section 17 of the Portuguese Securities Act, informs that it has received on 15 September 2021: (i) a Notice of Eligible Possession (attached) from Mr. John Textor , which updates the Notice of Eligible Possession issued by Benfica SAD on July 13, 2021. The shares involved may be transferred to Mr. John Textor, subject to the necessary conditions being met/the authorizations for the purpose indicated herein are verified, from September 15, 2021 (as stated in the initial communication ) to December 31, 2021, having not specified any further modifications to the other terms previously notified by the latter”, to read at the beginning of the letter sent by SAD do Benfica to CMVM.

In the same note, it was indicated that Jose Antonio dos Santos agreed with the American businessman to suspend the contractual obligations of the parties until December 31, 2021.

In addition, the businessman known as “Rei dos Frangos” has canceled the promissory purchase and sale contracts signed on April 26 and 30 this year with Quinta dos Jugais to purchase 3 percent of the shares of SAD incarnate that own this. The report stated that the implementation of this agreement was “conditional on completing the purchase of the necessary shares, which constitute a lot of shares, equivalent to 25% of the capital of this company, to be subsequently sold to a third party. In the meantime, the parties to this contract have mutually expressed their desire to terminate it amicably, so it is no longer enforceable.”

It is reported that in mid-June Jose Antonio dos Santos and John Textor signed two agreements to sell 5,750,000 shares, representing 25% of the company’s share capital. This percentage was not (and still is) in the possession of the Portuguese businessman. This agreement is suspended, by agreement of the parties, until December 31, 2021, with the transaction resuming if Jose Antonio dos Santos collects the number of shares necessary to carry out the agreed transaction.

Another deal is still pending: the transfer of 3.73 per cent of SAD do Benfica’s capital from José da Conceição Guilherme to José António dos Santos, a deal that was conditioned on the completion of the deal between “Rei dos Frangos” and John Texter.
